Navys launches Primary Subscriptions: fundraise tracking that keeps itself current

Navys today announced Primary Subscriptions, the live tracker for a fundraise. Every investor, commitment, and document workstream of the raise sits in one view, and the view keeps itself current: the correspondence that proves a step has moved is the same correspondence that moves the tracker.
A fundraise is one of the most active processes in private funds. Each investing vehicle carries its own commitment and its own progress through KYC, LPA comments, the subscription agreement, and any side letter, negotiated over email among the GP, the fund administrator, GP counsel, LP counsel, and the investor. The record of that progress typically lives in a spreadsheet that a paralegal rebuilds from the inbox, line by line. From our market conversations with fund managers and counsel, keeping a single fundraise tracker current by hand is estimated to cost around $400,000 per raise in counsel and paralegal time, and the tracker is still only as current as the last person who updated it.
Primary Subscriptions replaces that exercise with two steps. First, the deal team keeps Sam, the associate inside Navys, in copy on the correspondence it already sends, with the row reference in the subject line. Second, Sam reads what the administrator and counsel report and updates the right row: each document status, who holds the document and since when, and the last activity, with the email attached as the source. Nothing about the way counsel, administrators, or investors work has to change.
The tracker itself reads the way a GP thinks about a close. One row per investing vehicle, carrying the commitment in full, its share of the fund and of its fund vehicle, the concentration limit, LPAC seat and ERISA flags, the status of all four document workstreams, and the latest activity. Permitted users search, filter, sort, and export the current view to Excel. Every value carries its provenance: hover a status and see whether Sam set it from an email or a named colleague set it by hand, and when. A manual change always wins, and a stale email never overwrites fresher information.
The discipline behind the product matches the discipline of the parties using it. Statuses reflect what the fund administrator and counsel report; Navys does not perform KYC and does not draft or negotiate documents. A side letter is tracked by status alone, and its terms never appear on the tracker or in an export. Every subscription is scoped to the organizations running the raise.
"Every GP we spoke to runs a raise the same way: the real record is the inbox, and the tracker is a reconstruction of it," said Amr Jomaa, founder and CEO of Navys and a former funds lawyer. "We built Primary Subscriptions so the reconstruction stops. The email that tells your counsel a subscription agreement is executed now tells your tracker too."
Primary Subscriptions is available now as part of the Navys platform, alongside LP Transfers and Portfolio Sales, with Sam carrying the process inside all three. Native on-platform subscriptions, where investors complete their documents directly on Navys, follow in a later phase.
