    Introducing AI Contract Analysis

    Every transfer agreement, reviewed clause by clause against your playbook, plus workflows that show only the steps your firm actually uses.

    AI Contract Analysis

    Last month we shipped Playbooks. This month, Navys puts them to work. Upload a transfer agreement, select the relevant playbook, and Navys reviews the document against the positions your firm expects its team to hold.

    • Clause-by-clause review. Navys reads the agreement clause by clause, matches each one to the positions in your playbook, and returns a rating for every clause and for the document overall. Clauses with no playbook equivalent are surfaced separately, still evaluated in the context of your playbook.
    • The full picture on every clause. Each clause shows your playbook's standard position, the contract language, the commercial impact, the reasoning, and a suggested change to bring it in line with your preferred position.
    • Start with the summary. A concise summary of the whole agreement sits above the clause-level detail, so you can take in the high-level picture before working through the analysis.
    • Add any insight to a playbook. Any clause insight can be added back to a playbook. Navys pre-fills the entry from what it found, ready for you to review and save, so your playbooks sharpen with every transfer.
    • Works without a playbook, too. Run the analysis against a standard set of clauses instead, so any party to a transfer can generate a review.
    • Side-by-side review. AI Analysis lives in its own tab, viewable alongside the transfer agreement, so you stay in one window while you work through it.

    Workflows that fit your firm

    Steps a firm doesn't use, such as a standalone transfer agreement or payment confirmation, can now be hidden along with their sidebar entries. Each workflow shows only what matters to that firm, and nothing else.

    Codify the negotiating positions your firm expects its team to hold, clause by clause, plus more control over every transfer.

    Every firm has negotiating positions it expects its team to hold. Playbooks let you codify those positions in Navys, clause by clause, so they are documented, consistent, and operationally accessible rather than held in someone's memory.

    • Your preferred positions, structured and retrievable. Each playbook records, per clause, your preferred position, standard pushback and how to address it, approved fallback language, and precedent examples drawn from real deals. Investment firms can set playbooks firm-wide; law firms can additionally configure a playbook for a specific client.
    • Build and navigate playbooks in the app. Create a playbook, view all active playbooks at a glance, and drill into any section for the full detail.
    • Ground your standards in precedent. Link completed transfers to a playbook as you build it, so the outcome of past deals informs the positions you formalise going forward.

    Playbooks are also the foundation of Navys AI contract analysis. In the next release, every transfer agreement you upload will be reviewed automatically against the relevant playbook: Navys reads each clause, flags deviations from your preferred position, and surfaces suggested changes directly on the Transfer Agreement page.

    More Control Over Transfers

    • Pause or cancel a transfer. Put any active transfer on hold or cancel it outright. All parties are notified when a transfer is paused, resumed, or stopped.
    • Find any transfer instantly. Find any transfer immediately by ID, fund, vehicle, or counterparty from the All Transfers table, without manual scrolling.
    • Manage fund templates in one place. Upload, manage, and download template documents for any fund directly from its overview page.
    • Multi-client support for law firms. Law firms acting across multiple investment firms can now identify fund ownership at a glance and filter their view accordingly.

    A faster, smarter subscription agreement, live ownership math, and a more flexible fund setup.

    Subscription Agreement, rebuilt

    The subscription agreement is the most administratively painful document in any transfer or primary commitment. We rebuilt it on Navys to be structured, navigable, and intelligent by default.

    • Smarter forms. Table of contents, schedules and appendices as first-class sections, with form fields mapped to the underlying booklet.
    • Smart rules engine. Conditional logic embedded in the form. Relevant schedules and questions unlock based on what the investor enters.
    • Inline review. Reviewers leave comments threaded to the exact field under review.

    Live ownership math

    % of Fund and % of Vehicle now sit on the Investors tab and recompute as commitments, investors, and transfers change.

    More flexible fund setup

    Funds can now be created and managed across a wider range of organisation types. When ownership changes, the assigned investment firm flows through automatically.

    Closing

    Counsel fees as a closing condition. Transfers can no longer close until counsel confirms their bill has been paid. Navys now enforces what is already a precondition in practice.

    Schema builder footnotes. Form fields can carry footnotes, so context travels with the form.

    Guardrails

    Closing-flow guardrails. Investor names verified against the LP register, warnings before disabling documents pre-approval, and transfer emails indicating which step raised a question.
